1. Agreement
This End-User License Agreement ("Agreement") is between Salt Automations — a sole proprietorship operated by Nick Salt of Belleville, Ontario, Canada ("we," "us") — and the client on whose behalf the QuickBooks Online integration is operated, Belleville Home Health Care ("you," "Client"). By connecting the integration to your QuickBooks Online company, or by using it, you agree to these terms.
The "Software" is the private automation operated under the Intuit developer app named "Belleville Home Healthcare," which connects to a single QuickBooks Online company to prepare and update Estimates. The Software is an internal, single-tenant tool. There is no public sign-up and it is not listed on the QuickBooks App Store.
2. Licence
We grant you a limited, non-exclusive, non-transferable, revocable right to use the Software for your own internal business purposes — namely, preparing and reviewing QuickBooks Estimates for your company. This licence exists for as long as the integration is connected and these terms are in effect.
3. What the Software does
The Software uses the QuickBooks Accounting scope only to read Customers and Products/Services (Items) and to read, create, and update Estimates in the connected company, so that a person can review and send each Estimate. It does not access banking, payroll, invoices, payments, or other data outside that workflow. A fuller description is on the QuickBooks integration page.
4. Your responsibilities
- You authorize the connection to your QuickBooks Online company and confirm you have the right to do so.
- You are responsible for reviewing each prepared Estimate before it is sent to a customer. The Software prepares drafts for review; it does not send them to customers on its own.
- You will keep your QuickBooks Online administrator access secure.
5. Restrictions
You may not: (a) resell, sublicense, or provide the Software to any third party; (b) connect it to a company other than the one authorized; (c) reverse engineer, decompile, or attempt to extract its source except where that restriction is prohibited by law; or (d) use it unlawfully or in violation of Intuit's terms.
6. Intuit and QuickBooks
The Software integrates with QuickBooks Online through Intuit's APIs. Intuit is not a party to this Agreement. Your use of QuickBooks Online remains governed by your own agreements with Intuit, and your use of the Software must also comply with Intuit's applicable developer and platform terms. We are an independent Intuit developer and are not endorsed by Intuit.
7. Data and privacy
Our handling of your data — including the encrypted storage of the QuickBooks connection credentials and how to have them deleted — is described in the Privacy Policy, which forms part of this Agreement.
8. Disconnection and termination
You may end this Agreement at any time by disconnecting the Software from your QuickBooks Online company (Settings → Apps → Connected apps → Disconnect) or by asking us to do so. We may suspend or end the integration on reasonable notice, or immediately if required for security or to comply with Intuit's terms. On termination, the stored connection credentials stop working and are deleted; Estimates already created remain in your QuickBooks company.
9. Disclaimer of warranties
The Software is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that it will be uninterrupted or error-free. You remain responsible for the accuracy of your QuickBooks records and for reviewing every Estimate before it is used.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to the Software. Our total aggregate liability arising from or related to the Software will not exceed the amounts you paid us, if any, for the integration in the three months before the event giving rise to the claim.
11. Changes to these terms
We may update this Agreement. If we do, we will revise the "Last updated" date above; your continued use of the Software after a change means you accept the updated terms.
12. Governing law
This Agreement is governed by the laws of the Province of Ontario and the laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Ontario will have jurisdiction over any dispute.
